Welcome to Sandwich. These Terms of Service ("Terms") govern your access to and use of the Sandwich application, website, and services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.

By accessing or using Sandwich, you confirm that you are at least 16 years old and agree to comply with these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Sandwich is an AI-powered meeting companion that provides real-time transcription, automated note-taking, meeting summaries, and action item extraction. The Service may be offered as a free or paid product, with features varying by plan.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

4. Acceptable Use

You agree not to:

  • Use the Service to record meetings without the consent of all participants where required by law.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Transmit any viruses, malware, or other harmful code through the Service.
  • Resell, redistribute, or sublicense access to the Service without our written consent.

5. Your Content

You retain ownership of all content you create or upload through the Service, including meeting transcriptions, notes, and summaries. By using the Service, you grant us a limited license to process your content solely for the purpose of providing and improving the Service.

6. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Sandwich and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

7. Payment and Billing

If you subscribe to a paid plan:

  • Fees are billed in advance on a monthly or annual basis.
  • All fees are non-refundable unless otherwise stated.
  • We may change pricing with 30 days' notice.
  • You are responsible for any applicable taxes.

8. Termination

You may stop using the Service and delete your account at any time. We reserve the right to suspend or terminate your access if you violate these Terms or engage in conduct that we determine is harmful to other users or the Service.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that:

  • The Service will be uninterrupted or error-free.
  • Transcriptions or summaries will be 100% accurate.
  • The Service will meet all of your requirements.

10. Limitation of Liability

To the maximum extent permitted by law, Sandwich shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or profits, arising out of your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Sandwich and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Recording Consent

You are solely responsible for complying with all applicable laws regarding the recording and transcription of conversations. Many jurisdictions require the consent of all parties to a conversation before recording. Sandwich provides tools to help notify participants, but compliance is your responsibility.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
